1. Acceptance of Terms

By accessing and using the Dealix platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of the Terms, you may not use the Service. We reserve the right to modify these Terms at any time. Your continued use of the Service following any modification constitutes your acceptance of the modified Terms.

2. Description of Service

Dealix provides a web-based platform for founders to create data rooms and manage fundraising workflows, and for investors to review materials and collaborate privately. The Service enables:

  • Founders to create secure data rooms and share documents with investors
  • Investors to access materials, take private notes, and collaborate through an investor hub
  • Tracking and analytics on document engagement
  • CRM and investor management tools

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into this agreement and to abide by all of the Terms.

4. Use of Service

You may use the Service only for lawful purposes and in accordance with these Terms. You agree that you will not, under any circumstances:

  • Use the Service for any illegal or unauthorized purpose
  • Upload, store, or distribute illegal content including copyrighted material, trade secrets, or confidential information you do not have the right to share
  • Impersonate or misrepresent your identity or affiliation
  • Reverse engineer, decompile, disassemble, or attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to harass, threaten, defame, or abuse any person
  • Attempt to gain unauthorized access to user accounts or data

5. Intellectual Property Rights

Your Content: You retain all ownership rights to content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited license to host, store, and deliver Your Content to authorized users.

Platform IP: The Service, including all software, design, graphics, and functionality, is owned by Dealix and protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.

6. Investor Privacy

A core commitment of Dealix is maintaining structural separation between investor-side data and founder visibility. We guarantee that:

  • Investor notes and private workspace data are not accessible to founders
  • Investor activity and engagement is tracked only for investor awareness
  • Investor-side analytics and CRM data remain private

This privacy wall is maintained through technical and organizational controls and is non-waivable.

7. Payment and Billing

The Dealix founder tier is available for free. Paid plans are available for advanced features. When you subscribe to a paid plan, you agree to pay the stated fees. Billing occurs at the beginning of each billing period. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

8. Termination

We may suspend or terminate your account and access to the Service if:

  • You violate these Terms
  • Your use poses a security or legal risk
  • You engage in fraudulent, illegal, or abusive activity

We will provide reasonable notice unless immediate termination is necessary for security reasons. Upon termination, your right to use the Service immediately ceases.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

IN NO EVENT SHALL DEALIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS LESS.

11. Indemnification

You agree to indemnify and hold harmless Dealix, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of or relating to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

13. Dispute Resolution

Before filing a formal claim, you agree to contact us at legal@dealix.ai to attempt to resolve any dispute informally. If we cannot resolve the dispute within 30 days, you may pursue any legal remedies available.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dealix regarding your use of the Service and supersede all prior agreements and understandings.
